TERMS OF SERVICE.

1. PAYMENT TERMS.1.1. All transactions must be made through Shopee, online transfers, and QR only. Other payment methods may be considered at the Company's discretion depending on the situation.1.2. A deposit of 50% of the total project fee is required before work commences, structured as follows:> 25% Non-Refundable Deposit - covers initial consultation, concept development, and administrative costs. This portion is retained by the Company under all circumstances.*> 25% Refundable Deposit - held in good faith and refundable subject to the conditions outlined in Clause 1.5.> The remaining 50% balance must be paid in full before the release of final deliverables.1.3. The Company reserves the right to suspend or delay work in the event of late or incomplete payment. , without liability for any resulting project delays.1.4. In the event of project cancellation by the Client after commencement, the Company reserves the right to charge a termination fee (“kill fee”) proportionate to the work completed at the time of cancellation. The non-refundable deposit shall be applied toward this fee.1.5. Refund Eligibility - The refundable 25% deposit may be returned to the Client under the following conditions:> The Client has utilised all entitled revision rounds and remains dissatisfied with the output; and> The dissatisfaction is based on objective grounds - meaning the deliverables materially deviate from the agreed Project Brief, creative direction, or approved concepts; and> The Client submits a written refund request with clear reasoning within 7 calendar days of receiving the final deliverable.2. PROJECT PROCESS.2.1. All projects shall follow the standard process of :
i. Brief consultation and submission.
ii. Quotation issuance by the Company.
iii. Payment deposit by the Client.
iv. First concept/draft within 72 hours.
v. WhatsApp group creation for discussion.
vi. Project execution.
vii. Review and amendments (if required).
viii. Balance payment.
viiii. Final delivery (within 1 month or as agreed).3. REVISIONS & SCOPE CONTROL.3.1. Each project includes a limited number of revisions as agreed prior to project commencement.3.2. A revision shall refer to minor adjustments within the original agreed scope. Any request that deviates from the original brief, including but not limited to changes in concept, direction, or deliverables, shall be considered a new request and may incur additional charges.3.3. The Company reserves the right to impose additional fees for revisions exceeding the agreed limit.4. TIMELINE & DELAYS.4.1. Project timelines provided by the Company are estimates unless otherwise expressly stated as fixed deadlines.4.2. Any delays caused by the Client, including but not limited to delayed feedback, approvals, or payments, shall result in a corresponding adjustment of the project timeline.4.3. The Company shall not be held liable for delays arising from factors beyond its reasonable control5. INTELLECTUAL PROPERTY & USAGE RIGHT.5.1. All intellectual property, including but not limited to concepts, drafts and final deliverable, shall remain the property of the Company and/or its assigned talent until full payment has been received.5.2. Upon full payment, the Client shall be granted usage rights strictly in accordance with the agreed scope. Any additional usage beyond the agreed scope shall require prior written approval and may incur additional fees.5.3. The Company and Talent reserves the right to display completed work in its portfolio and promotional materials unless otherwise agreed in writing.5.4. Please refer to commercial use terms below for better understanding.6. CONFIDENTIALITY.6.1. All parties must agree to maintain strict confidentiality over all project-related information, including but not limited to business information, pricing, strategies, and campaign details.6.2. Such information shall not be disclosed to any third party without prior written consent, unless required by law.7. NON-CIRCUMVENTION.7.1. The Client agrees not to directly engage, solicit, or enter into any form of agreement with any Talent introduced by the Company without prior agreement or written consent from the Company.7.2. This obligation shall remain in effect during the project period and for a duration of 12 months following the completion or termination of project.8. TALENT & THIRD-PARTY CLAUSE.8.1. The Company engages independent freelance talent to deliver certain services.8.2. While the Company shall exercise reasonable efforts in managing and coordinating such talent, it shall not be held liable for delays, non-performance, or misconduct by third parties beyond its reasonable control.9. CANCELLATIONS & REFUNDS.9.1. 25% of deposits are non-refundable.9.2. In the event of project cancellation by the Client, the Client shall be liable to pay for all work completed up to the date of cancellation.9.3. If the Talent cancels the project, the Company will reassign the project to a different talent within the Company with the Client’s approval.9.4. If the Company cancels the project, any unused portion of the Client’s payment shall be refunded accordingly. Inclusive of the initial 25% deposit.10. LIMITATION OF LIABILITY.10.1. The Company shall not be liable for any indirect, incidental, consequential, or business losses arising from the use of its services.11. DISPUTE RESOLUTION & GOVERNING LAW.11.1. All parties agree to attempt to resolve any disputes through good faith negotiations.11.2. If the dispute remains unresolved, it shall be referred to mediation or arbitration prior to any legal proceedings.11.3. This agreement shall be governed by and construed in accordance with the laws of Malaysia.12. CLIENT RESPONSIBILITIES.12.1. The Client agrees to provide clear and accurate project time briefs, respond to communications in a timely manner, provide approvals without unreasonable delay.12.1. Failure to do so may impact project timelines and deliverables.13. PUBLIC CREDIT & PORTFOLIO USE.13.1. Unless otherwise agreed in writing, the Company and Talent reserves the right to credit itself for completed work and to showcase such work in its portfolio, marketing materials and promotional platforms.14. ACCEPTANCE OF TERMS.14.1. By engaging, confirming, or proceeding with any project or service provided by the Company, the Client acknowledges that they have read, understood, and agreed to be bound by all terms and conditions stated herein.14.2. Such acceptance shall be deemed effective regardless of whether a formal agreement has been signed and shall constitute a binding contract between the parties.14.3. The Client further acknowledges that continued participation in the project, including but not limited to providing instructions, feedback, approvals, or payments, shall constitute ongoing acceptance of these Terms.
